Analog Devices (ADI) has completed its acquisition of Alif Semiconductor, a provider of AI-native microcontrollers and fusion processors. The deal was announced on September 9, 2026, as an all-cash transaction valued at USD1.35 billion, with up to USD 200 million in additional contingent payments. ADI had said it would fund the upfront price with proceeds from a note offering.

Alif, headquartered in Pleasanton, California, develops low-power microcontrollers with integrated AI acceleration that support low-latency inference, sensor fusion and on-device AI. It raised a USD 113 million Series B in 2022 from investors including Celesta Capital and Mayfield, and lists Kleiner Perkins as its lead investor.

ADI said combining its sensing, signal-processing, power, connectivity and application software with Alif’s platform expands its total addressable market and speeds innovation across industrial, data centre infrastructure, defence, energy, robotics, digital health and wearable applications. ADI, which reported revenue of more than USD 11 billion in FY25, calls the strategy “physical intelligence,” where systems sense, reason and act locally in real time.

Analysts note the USD 1.35 billion upfront price, the contingent payments and the fact that this is ADI’s second major acquisition of the year raise the bar for execution and returns.

“We are excited to welcome the Alif team to ADI and begin realizing the potential of bringing our technologies together. Alif’s AI-native platform builds on that foundation, advancing systems that can understand real-world signals, reason and act locally within demanding power, latency, security and reliability constraints,” said Vincent Roche, CEO and Chair, ADI.
