European asset manager DWS Group has signed agreements to acquire a 40 percent stake in Nippon Life India AIF Management Limited (NIAIF), marking a key milestone in its strategic partnership with Nippon Life India Asset Management Ltd (NAMI).

The development follows a joint announcement made on 13 November 2025, when both firms had entered into a non-binding MoU to explore collaboration opportunities.

With the signing of the agreements, DWS will subscribe to newly issued shares in NIAIF, formalising its position as a minority shareholder and strategic partner focused on expanding alternatives investment capabilities in India.

The two companies aim to build a scalable alternatives platform that caters to both domestic and global investors seeking exposure to India’s long-term growth potential.

NIAIF, which is still in an early growth phase, has already developed a diversified alternatives portfolio spanning private credit, listed equities, real estate and venture capital. As part of the partnership, the platform’s product offerings are expected to expand further, with a focus on attracting offshore capital.

The transaction remains subject to regulatory approvals and other customary conditions.

Beyond the equity investment, DWS and NAMI plan to deepen collaboration across other areas. These include the development and launch of passive investment solutions, as well as a global distribution agreement for actively managed India-focused strategies through DWS’s international network. The partnership is expected to combine NAMI’s domestic market expertise with DWS’s global reach and product capabilities.

NIAIF, backed by the Nippon Group’s legacy and NAMI’s investment experience, has launched over 22 funds and raised more than INR 8,500 crore in commitments since 2014. Meanwhile, DWS Group manages assets worth EUR 1,085 billion as of December 2025 and serves clients globally across active, passive and alternative investment segments.
