Indiabulls Limited, formerly known as Yaari Digital Integrated Services Limited, has entered into a definitive agreement to acquire a 70% stake in Fintech Cloud Private Limited for INR 1,050 crore, according to a regulatory filing dated September 11. The transaction values Fintech Cloud at an equity valuation of INR 1,500 crore.
Fintech Cloud acts as a loan service provider for regulated financial institutions, offering NBFCs technology and support for loan origination, borrower screening and loan servicing. The company was incorporated in January 2021 and reported gross revenue of INR 133.77 crore and profit before tax of INR 30.31 crore in FY2025-26.
The INR 1,050-crore consideration will be settled through the issuance of up to 21 crore fully paid-up equity shares of Indiabulls to Fintech Cloud’s shareholders, rather than in cash. The transaction will be carried out through an NCLT-approved scheme, subject to approvals from the NCLT, SEBI, stock exchanges and other regulatory and shareholder authorities, and is expected to take 9-12 months to complete.
Following completion, Indiabulls will hold a 70% stake in Fintech Cloud and appoint a majority of directors to its board. The acquisition marks Indiabulls’ entry into the fintech segment through a business focused on technology solutions for NBFCs.
