Persistent’s Takeover Offer for Nagarro Succeeds, Secures 83.25% Stake
Persistent secures 83.25% stake in Nagarro as its takeover offer succeeds; deal expected to close by Q1 CY27.

Persistent Systems, through its wholly owned subsidiary Galaxy Germany Holding SE, has announced the initial results of its voluntary public takeover offer for German IT firm Nagarro SE, securing approximately 83.25% of Nagarro’s total share capital and voting rights, exceeding the minimum acceptance threshold of 50% plus one share required for the offer to be completed.
The acceptance period expired at midnight CEST on September 17, 2026, during which 7,568,145 Nagarro shares, or about 61.15% of total share capital, were tendered into the offer. This adds to the approximately 22.10% stake Persistent had already secured in Nagarro under a share purchase agreement with Lantano Beteiligungen GmbH.
Under the German Securities Acquisition and Takeover Act (WpÜG), Nagarro shareholders who have not yet tendered their shares can still accept the offer at the same cash consideration of €81.00 per share during an additional acceptance period running from September 23 to October 6, 2026.
Following completion of the offer, Persistent intends to pursue a delisting of Nagarro shares from the regulated market (Prime Standard) of the Frankfurt Stock Exchange as soon as practicable and legally feasible, as part of a taking-private strategy. This would result in Nagarro’s exclusion from the SDAX index and a reduction in the liquidity of its shares. Nagarro’s Management Board has indicated it is willing, subject to its fiduciary duties, to support the delisting. The transaction is expected to close by the end of Q1 CY27, subject to a limited number of remaining regulatory approvals.
