Persistent Systems has secured approximately 94.04% of the share capital and voting rights of German IT services company Nagarro SE following the completion of the additional acceptance period for its voluntary public takeover offer.
Galaxy Germany Holding SE, a wholly owned direct subsidiary of Persistent Systems, announced the final results after the additional acceptance period expired on October 6, 2026.
During the additional acceptance period, shareholders tendered another 1,335,114 Nagarro shares. This took the total shares tendered to 8,903,259, representing approximately 71.94% of Nagarro’s share capital and voting rights, excluding treasury shares.
Persistent had already secured approximately 22.10% of Nagarro through a share purchase agreement with Lantano Beteiligungen GmbH. The combined holding of 94.04% exceeds the offer’s minimum acceptance threshold of 50% plus one share.
Sandeep Kalra, Chief Executive Officer and Executive Director of Persistent Systems, said, “The final results of our offer for Nagarro are a clear endorsement of the strategic logic behind bringing Persistent and Nagarro together. We now look forward to completing the remaining steps toward closing. Together, we will build the global AI-led digital engineering player we envision.”
Following completion of the offer, Persistent plans to initiate a squeeze-out of Nagarro’s remaining minority shareholders, as it has secured more than 90% of the company’s share capital and voting rights. The company said no final decision has been taken on the specific measures.
Persistent expects the transaction to close by the end of the first quarter of calendar year 2027, subject to a limited number of outstanding regulatory approvals.
